Daisy Ho, chairperson of SJM Holdings, has purchased about $3 million worth of the company’s bonds through a series of transactions in early March, according to disclosure filings submitted to the Hong Kong Stock Exchange.

The filings show that Ho acquired 6.5 percent senior notes due in 2031 issued by SJM International Limited, an associated company of SJM Holdings. The purchases took place between 6 March and 10 March and were conducted through three separate transactions.

Series of bond purchases

Disclosure forms, reveal that Ho bought a total principal amount of $3 million in the notes.

The first transaction occurred on 6 March, when she purchased $1.5 million in notes. The bonds were bought at an average price of about $999.93 per $1,000 unit.

This was followed by a second transaction on 9 March, when Ho acquired $1 million in notes. The average purchase price for this tranche was around $989.11 per $1,000 unit.

A third and final purchase took place on 10 March. Ho bought an additional $500,000 in notes at an average price of roughly $995.29 per $1,000 unit.

Stake in debentures rises from zero

Following the transactions, Ho’s interest in the debentures increased from zero to $3 million in principal amount.

The filings state that the holdings are owned by Ho in her capacity as beneficial owner. This means the bonds are held directly for her personal investment rather than through another controlling entity.

The notes form part of a broader $540 million issuance of 6.5 percent senior unsecured bonds due in 2031.

According to the disclosure documents, the bonds are freely transferable between investors. However, they are not convertible into shares of the issuing company or any other entity.

Details of the bond issuance

The senior notes were issued by SJM International Limited, which is affiliated with SJM Holdings.

Senior unsecured notes are a type of corporate debt instrument that pays fixed interest to investors and ranks ahead of equity holders in the event of liquidation. In this case, the bonds carry a fixed annual interest rate of 6.5 percent and are scheduled to mature in 2031.

The total issuance size of $540 million forms part of the company’s broader financing structure.

Bond purchases by company executives are often disclosed through regulatory filings to ensure transparency in financial markets.
